Terms of Service

Last updated: September 26, 2026

These Terms are a binding agreement between you and Lumi Diamond, LLC. They include a mandatory arbitration clause and a class-action waiver in Section 16, which affect how disputes between us are resolved. Please read them.

1. Who you are contracting with

Motionly (the “Service”) is operated by Lumi Diamond, LLC, a limited liability company formed in the Delaware, United States (“we”, “our”, “us”). Our address of record is:

Lumi Diamond, LLC
56 Broad St, Suite 14213
Boston, Massachusetts 02109
United States

Contact: hello@motionly.studio · +972 52-611-6025

We operate the Service from Israel. See our Privacy Policy for what that means for your data.

We are not motionly.org. Motionly operates only at motionly.studio. An unaffiliated service at motionly.org uses a similar name and bills separately. We have no relationship with it and cannot access, refund, or cancel anything it charged you. Read the full notice.

2. Acceptance

By creating an account, purchasing a plan, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, Refund & Billing Policy, and Accessibility Statement, each incorporated here by reference. If you do not agree, do not use the Service. If you accept these Terms for an organization, you represent that you are authorized to bind it, and “you” means that organization.

3. What the Service does

Motionly is an AI-assisted motion-ad generation platform. You supply a brief, a URL, and brand information; our pipeline generates video ad compositions and renders them. The Service includes ad generation, brand profiles, an editing agent, and related tools. We develop the Service continuously and may add, change, or remove features.

4. Eligibility and accounts

You must be at least 18 years old and legally able to enter contracts. You are responsible for the accuracy of your registration details, for the security of your credentials, and for all activity under your account. Tell us promptly at help@motionly.studio if you suspect unauthorized use. One person or organization per account; do not share credentials.

5. Acceptable use

You agree not to use the Service to:

  • Generate content that is illegal, defamatory, harassing, hateful, or sexually explicit.
  • Infringe anyone's intellectual property, publicity, or privacy rights — including uploading brand assets, footage, music, or likenesses you do not have the right to use.
  • Impersonate any person, business, or organization, or misrepresent your affiliation with one.
  • Create deceptive advertising, or claims that are false or that you cannot substantiate.
  • Violate advertising laws or the policies of the platforms you publish to.
  • Reverse-engineer, decompile, or attempt to extract our models, prompts, or pipeline.
  • Scrape, bulk-access, or place automated load on the Service outside documented interfaces.
  • Resell, sublicense, or white-label the Service without our written authorization.
  • Upload malware, or probe, breach, or circumvent our security or usage limits.

We may investigate suspected violations and suspend or terminate accounts that breach this section. You are solely responsible for ensuring the ads you publish comply with the law and with the rules of the platforms you run them on.

6. Your content, our platform, and AI output

Your content. You keep ownership of the briefs, brand data, logos, images, footage, and business information you provide (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and adapt Your Content solely to operate and improve the Service and to produce your ads. You represent that you hold the rights necessary to grant that license.

Generated ads. Subject to your compliance with these Terms and payment of applicable fees, ads you generate are yours to use commercially. We assign to you whatever rights we hold in the specific output generated for you, and grant you a perpetual, worldwide, royalty-free license to use, modify, and distribute it for any lawful purpose.

Our platform. The Motionly platform, name, logo, software, scene library, templates, prompts, and pipeline remain our exclusive property. Nothing here transfers them to you.

How AI output works. Output is generated by machine learning models. It is not guaranteed to be unique, and models may produce similar output for different users from similar inputs. We do not warrant that output is original, non-infringing, accurate, or fit for any particular campaign. You are responsible for reviewing every ad before you publish it, including claims, disclaimers, trademarks, music rights, and platform policy compliance.

Showcasing. We may display ads you generate publicly (for example in our Explore gallery or marketing) only where you have made them public or opted in. You may withdraw that permission at any time by writing to help@motionly.studio.

7. Plans, credits and billing authorization

The Service runs on credits. Paid plans grant a monthly credit allowance; actions such as generating, rendering, and messaging the agent consume credits at the rates shown in the app. Current plans and prices are on our pricing pagepricing page.

Website recurring billing — please read. Paid plans are subscriptions. When you subscribe, you authorize us and our payment processor (Stripe) to charge your payment method on a recurring basis — monthly or yearly, as you selected — at the then-current price, automatically, until you cancel. Each renewal is a separate authorized charge under that same authorization.

  • Cancel website subscriptions anytime. Cancel from your account settings, or email help@motionly.studio. Cancellation stops future renewals; it does not retroactively reverse a completed charge.
  • Access through the paid period. After you cancel, your plan stays active until the end of the period you already paid for.
  • Credits do not roll over between monthly periods unless we say otherwise. Purchased credit packs do not expire.
  • Price changes take effect no earlier than 30 days after we notify you by email or in the app, and never mid-period. A price you locked in under a founding or promotional offer is honored for as long as that subscription remains continuously active.
  • Failed payments. If a charge fails, we may retry and may suspend paid features until it clears. We do not add late fees or interest.
  • Taxes. Prices exclude VAT, sales tax, and similar taxes, which are added where required.

Refunds are governed by our Refund & Billing Policy. If you believe you were charged in error, contact help@motionly.studio before filing a chargeback — we resolve genuine billing errors quickly and in full.

App Store subscriptions

For subscriptions purchased through the iPhone app, Apple processes payment through your Apple Account. The purchase screen shows the localized price, billing period and any offer terms before you confirm. Annual plans are charged in full yearly; credits are allocated monthly. Subscriptions renew automatically unless cancelled before renewal. Manage or cancel an Apple subscription in your Apple Account settings; Motionly support cannot cancel it for you. See Apple’s cancellation instructions.

Deleting the app or your Motionly account does not cancel Apple billing. Restore purchases using the same Apple Account and the Motionly account originally linked to the purchase. Apple handles refund requests at reportaproblem.apple.com under its applicable terms. These App Store billing instructions apply instead of the website payment and cancellation instructions above. Your statutory rights remain unaffected. The iPhone app is licensed under Apple’s Standard End User License Agreement.

8. Free plan and trials

Free accounts receive a limited monthly credit allowance, and videos rendered on the free plan may carry a watermark. Where we offer a trial, its length, price, and what happens at the end are disclosed at signup. If a trial converts to a paid plan, we disclose that before you start it, and you may cancel during the trial to avoid the charge. We may change or withdraw free and trial offers at any time for new signups.

9. Third-party services and platforms

The Service depends on third parties (payments, hosting, AI model providers, rendering, email, analytics — listed in our Privacy Policy). Their availability and terms are outside our control. Where you connect the Service to another platform, that platform’s terms govern your use of it, and we are not responsible for its acts or omissions.

10. Availability, and no professional advice

We work to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, change or discontinue features, or experience outages. The Service is a creative tool: nothing it produces is legal, financial, medical, or professional advice, and generated marketing claims are not verified by us.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE, ORIGINAL, OR PRODUCE ANY PARTICULAR MARKETING RESULT.

Some jurisdictions do not allow the exclusion of certain warranties. In those places, this section applies to the fullest extent permitted, and you may have rights that these Terms cannot limit.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMI DIAMOND, LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

These limits apply regardless of the legal theory and even if a limited remedy fails of its essential purpose. Nothing in these Terms excludes liability that cannot lawfully be excluded — including for fraud, willful misconduct, or death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You will indemnify and hold harmless Lumi Diamond, LLC and its members, officers, employees, and agents from claims, damages, liabilities, and reasonable legal fees arising out of: (a) Your Content; (b) your use of the Service or of any ad you generate, including how and where you publish it; (c) your breach of these Terms or of applicable law; or (d) your infringement of a third party’s rights. We will notify you of any such claim and may participate in its defense with counsel of our choosing; you may not settle a claim in a way that imposes obligations on us without our written consent.

14. Suspension and termination

You may cancel your subscription or delete your account at any time from your account settings. We may suspend or terminate access if you materially breach these Terms, if we reasonably suspect fraud or abuse, if required by law, or if payment fails and remains unresolved. Where practical and lawful, we will give notice and an opportunity to cure first.

On termination your right to use the Service ends. You keep the rights granted to you in Section 6 for ads already generated. Export your work before deleting your account: we delete personal data within 30 days of account deletion, as described in our Privacy Policy. Sections 6, 11, 12, 13, 16, and 17 survive termination.

15. Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days’ notice by email or in the app before they take effect, and update the date at the top of this page. Continued use after the effective date constitutes acceptance. If you do not accept a change, cancel before it takes effect; if you cancel for that reason mid-period, contact us and we will refund the unused remainder of that period.

16. Governing law, arbitration, and class-action waiver

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

Talk to us first. Before starting any formal proceeding, you agree to contact us at hello@motionly.studio and give us 30 days to resolve the dispute informally. Most issues — billing above all — are resolved this way within a day.

Binding arbitration. If we cannot resolve a dispute informally, you and Lumi Diamond, LLC agree that any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Delaware or conducted remotely at your election. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. An arbitrator may not consolidate claims or preside over a class proceeding. If this waiver is found unenforceable as to a particular claim, that claim — and only that claim — proceeds in court, and the rest of this section stands.

Exceptions. Either party may bring an individual claim in small claims court, and either may seek injunctive relief in court for infringement or misuse of intellectual property.

Opt out. You may reject this arbitration agreement by emailing hello@motionly.studio with the subject “Arbitration Opt-Out” within 30 days of first accepting these Terms. Opting out does not affect anything else in these Terms, and we will not treat it as a reason to close your account.

Consumers. If you use the Service as a consumer, nothing in this section deprives you of the protection of mandatory consumer laws of your country of residence, or of your right to bring proceedings in your local courts where those laws give you that right. Israeli consumers retain all rights under the Israeli Consumer Protection Law, 5741-1981.

17. General

  • Entire agreement. These Terms and the policies they incorporate are the entire agreement between us on this subject.
  • Severability. If a provision is unenforceable, it is limited or severed to the minimum extent necessary and the rest remains in force.
  • No waiver. Not enforcing a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
  • Notices. We send notices to your account email. Send notices to us at the address in Section 1 or to hello@motionly.studio.
  • No agency. These Terms create no partnership, employment, or agency relationship.
